Last Modified: November 12, 2024
Nomadica Holdings LLC (“Worldschooly,” “we,” “us,” “our”) provides its services, including the Worldschooly online booking platform and related features, to individuals and organizations (collectively, “Retail Users” and “Hosts”; “Users,” “you,” or “your”), subject to the terms and conditions outlined in this Agreement.
By subscribing to, accessing, using, or viewing any part of the Worldschooly platform, or downloading any materials, you accept and agree to these Terms of Service as a legally binding agreement between you and Worldschooly (the “Agreement”). If you are entering into this Agreement on behalf of a company or other legal entity, you represent that you have the authority to bind that entity and its affiliates to these terms, in which case the terms “you” or “your” will refer to that entity and its affiliates.
If you do not have such authority or disagree with these Terms of Service, you may not use the platform.
We reserve the right, at our sole discretion, to modify or update portions of these Terms of Service at any time. Any changes will be posted on this page, with the “last modified” date updated accordingly. Changes become effective upon posting, and your continued use of the services constitutes your acceptance of the revised Terms of Service. Please review these terms periodically to ensure you are aware of any updates.
For purposes of this Agreement, the following terms have the meanings assigned to them below. These definitions apply to both singular and plural forms, and section headings are for reference only.
Worldschooly provides tools via its platform to connect Hosts, who offer educational programs or events (Hubs), with Retail Users, who seek to attend these hubs. These tools include listing management, booking, and communication features to facilitate these connections.
Worldschooly facilitates communication and transactions between Hosts and Retail Users. We are not a party to agreements between Hosts and Retail Users; all interactions, agreements, and transactions are solely between these parties. Worldschooly does not guarantee the accuracy, completeness, cost, quality, or timeliness of any hubs, services, or experiences offered by Hosts.
Worldschooly retains an 4% deposit at the time of booking as the service fee. The remaining balance is paid directly by the Retail User to the Host. Worldschooly is not responsible for the remaining payment transaction or any issues that may arise between Retail Users and Hosts.
Worldschooly reserves the right to modify or discontinue any part of the Services at any time, with or without notice. You agree that Worldschooly will not be liable to you or any third party for any modification, suspension, or discontinuation of the Services.
You may be required to register to access certain features of the platform. By registering, you agree to provide accurate and current information. Personal information is handled according to Worldschooly’s Privacy Policy.
You are responsible for maintaining the security of your account and password. Worldschooly is not responsible for any loss or damage resulting from failure to secure your account.
You understand that your content (excluding credit card information) may be transferred over various networks and adapted to fit technical requirements. Credit card information is always encrypted during transfer over networks.
Hosts are responsible for ensuring compliance with Worldschooly’s terms and policies by all individuals acting on their behalf. Any violations by these individuals will be treated as violations by the Host.
Hosts guarantee that their information is accurate and up-to-date, and that they are legally allowed to conduct business and provide services. Hosts are solely responsible for ensuring their services comply with applicable laws, including health, safety, and tax regulations.
Worldschooly retains a 4% deposit on the total price of bookings as a service fee. Hosts are responsible for collecting the remaining balance directly from Retail Users.
All fees due under this Agreement will be paid in U.S. Dollars, unless otherwise specified.
Worldschooly reserves the right to change its service fee structure. Hosts will be notified of changes at least 30 days before they take effect.
Worldschooly is not responsible for non-payment by Retail Users. Hosts are responsible for managing payments directly with Retail Users.
Hosts must ensure compliance with local tax regulations. Worldschooly will not be held liable for any non-compliance with tax laws by the Host.
Hosts must comply with applicable U.S. laws and other relevant international regulations when accessing and using the Services. Hosts agree not to use the Services in any way that violates international law.
This Agreement will automatically renew for additional terms unless either party provides written notice of non-renewal 30 days prior to the next term.
Worldschooly may terminate this Agreement for non-payment or violations of the terms outlined in Section 3(n) – Access by Hosts – Use Restrictions or Section 14 – Confidential Information.
Worldschooly will use reasonable efforts to ensure the platform’s availability but does not guarantee specific service levels or uptime.
Hosts are entitled to customer support for technical issues. While Worldschooly endeavors to respond promptly to all inquiries, no guaranteed response times are provided.
Worldschooly collects a 4% deposit at the time of booking. The remaining balance is paid directly by the Retail User to the Host, and Hosts are responsible for managing their own payment processes.
Worldschooly retains ownership of all intellectual property rights in the platform, while Hosts retain ownership of any content they upload.
If you believe that material on the Worldschooly platform infringes on your intellectual property rights, you can submit a notice by providing:
Send your notice to [email protected].
Users must comply with the Acceptable Use Policy (AUP) described in Exhibit A. Breaches of the AUP, such as copyright infringement, may result in suspension or termination of access to the platform. Worldschooly has full discretion in enforcing these rules and may take action accordingly.
The collection and use of personal data on the platform is governed by Worldschooly’s Privacy Policy (Exhibit C). This policy does not apply to any third-party sites or services linked from the platform.
Worldschooly commits to protecting the security and confidentiality of personal information, including Host Data, through its Data Management Policy (Exhibit B). Worldschooly takes commercially reasonable steps to safeguard data from unauthorized access, use, or disclosure in compliance with applicable laws.
During the term of this Agreement, either Party may disclose confidential information regarding its business, products, intellectual property, and proprietary details, whether marked as “confidential” or not. Confidential Information excludes information that:
The receiving Party agrees not to disclose Confidential Information except to employees who need to know it to fulfill obligations under this Agreement. Disclosure may be required by law, but written notice must be given to the other Party, and efforts must be made to protect the disclosed information.
Upon termination or expiration of this Agreement, the receiving Party must return or destroy all copies of the disclosing Party’s Confidential Information and certify its destruction.
Non-disclosure obligations last for five (5) years from the date of disclosure, except for trade secrets, which remain protected indefinitely as required by law.
Worldschooly will indemnify and defend the Host against losses or liabilities from third-party claims directly alleging that Worldschooly’s unmodified Services infringe the intellectual property rights of that third party. The Host must promptly notify Worldschooly of such claims, provide necessary cooperation, and allow Worldschooly full control of the defense and settlement.
In response to infringement claims, Worldschooly may at its discretion:
This indemnity does not apply if the infringement claim arises from:
Worldschooly’s liability under this indemnity is limited to the fees paid by the Host in the 12 months preceding the claim.
The Host will indemnify Worldschooly against third-party claims arising from the Host’s use of the Services, including intellectual property infringement or misuse. The Host cannot settle third-party claims without Worldschooly’s consent.
The Services are provided “as is” and “as available” without warranties. Worldschooly disclaims all express or implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. Worldschooly does not guarantee that:
Worldschooly does not indemnify against intellectual property claims unless explicitly stated.
In no event will Worldschooly be liable for any indirect, incidental, special, consequential, punitive, or aggravated damages, including but not limited to lost profits, loss of goodwill, loss of use, or loss of data, arising from or related to your use of the Services, even if we have been informed of the possibility of such damages. To the maximum extent permitted by law, Worldschooly’s total liability under any circumstances will be limited to the total amounts you paid or accrued for the Services in the 12 months before the claim.
All notices, requests, consents, claims, demands, waivers, and other communications (collectively, “Notices”) under this Agreement must be in writing and sent to the addresses provided in the User’s Account or to an alternate address specified by the receiving Party. Notices may be sent by mail or email. Worldschooly may send Notices via email or other electronic communication. Notices sent by email will be deemed received 7 days after being sent.
Worldschooly reserves the right to modify this Agreement or any related policies by posting updates on its website (https://worldschooly.com) and sending a notice to Hosts. Amendments will be effective 30 days after the notice is sent unless the Host provides written rejection before the effective date. A rejected amendment will take effect at the beginning of the Host’s next term, unless the Agreement is terminated. Continued use of the Services after the amendment’s effective date will signify acceptance of the changes. Amendments to the Privacy Policy are effective 10 business days after notice is provided.
The Parties are independent contractors and will not represent themselves as agents or employees of the other. Neither Party may bind the other in any way.
No waiver of any provision of this Agreement will be effective unless it is in writing and signed by the Party granting the waiver. A failure to exercise or delay in exercising any rights under this Agreement does not constitute a waiver, nor does a partial exercise of any rights preclude further exercise of any other rights.
Neither Party shall be held liable for any delay or failure to perform their obligations under this Agreement if such delay or failure results from events beyond their reasonable control, including but not limited to acts of God, war, terrorist attacks, pandemics, government-imposed restrictions, labor disputes, cyber-attacks, or widespread internet outages. In the event of a force majeure, the affected party will notify the other party as soon as possible and make reasonable efforts to mitigate the impact of the force majeure event.
The Host may not assign or transfer its rights or obligations under this Agreement without Worldschooly’s prior written consent. Any unauthorized assignment will be null and void. This Agreement binds and benefits the Parties and their permitted successors and assigns.
This Agreement and any related disputes are governed by the laws of the State of Wyoming and the federal laws of the United States applicable therein, without regard to conflict of law provisions.
Any legal action or proceeding arising out of or related to this Agreement must be brought in the courts of Wyoming State. Each Party irrevocably consents to the exclusive jurisdiction and venue of these courts. Service of process by mail to the Party’s address as provided will be effective for legal proceedings. Parties waive any objection to the venue or inconvenience of these courts.
If any provision of this Agreement is deemed invalid or unenforceable, the remainder of this Agreement will continue in full force, and the invalid provision will be interpreted to achieve the intent of the Parties to the greatest extent permitted by law.
If there is a conflict between this Agreement, its Exhibits, or other documents referenced, the following order of precedence applies:
Both Parties agree that a breach of obligations under Section 14 – Confidential Information or Section 3(n) – Access by Hosts – Use Restrictions could cause irreparable harm, and monetary damages would not be an adequate remedy. The non-breaching Party will be entitled to seek injunctive or equitable relief without the need to post a bond or prove actual damages.
This Agreement represents the entire agreement between the Parties, superseding any previous discussions, communications, or agreements. Neither Party is relying on any prior communication that is not included in this Agreement.

At Worldschooly, we provide a platform that connects hosts with families seeking immersive, hands-on educational experiences for their children. By listing your worldschooling hub, program, or event on our platform, you gain access to a global community actively seeking these opportunities. Our goal is to make the discovery and booking process smooth and efficient while fostering meaningful connections between hosts and families.
As a Worldschooly host, you can share your educational programs with the world without any upfront advertising fees. You can list as many programs, hubs, and offerings as you like for free. We only charge a deposit on verified bookings made through the platform, which is retained as a service fee. Our team is here to help you optimize your listings and connect with the right families for your programs.
When a family discovers and books your hub through Worldschooly, we charge a 4% deposit on the total booking price, which is retained as a service fee. The remainder of the balance is collected by you through your regular payment process. As your technology partner, we’re continuously developing a hub management system with payment services to help you manage guests and collect payments with ease.
To maintain fairness and consistency across the marketplace, you agree that the price listed on Worldschooly is the lowest price available for that specific hub or program. You cannot offer a lower price for the same experience on another platform or through direct bookings.
Hosts are required to confirm all bookings made through Worldschooly within 48 hours of receiving the booking request. Prompt confirmation helps build trust and ensures that your bookings are secure. Failure to confirm bookings within the given time frame may result in penalties or removal from the marketplace.
It is your responsibility to respond to inquiries from potential participants within 48 hours. Messages sent through Worldschooly will appear in your account and be forwarded to your associated email. Timely responses contribute to positive interactions with families and help maintain your reputation on the platform.
Worldschooly allows each host to define their own cancellation policy to best suit their program’s needs. Hosts are responsible for setting and clearly displaying their cancellation policy on their hub page, ensuring transparency and flexibility for both the host and participants.
Deposits paid directly to Worldschooly are refundable. If a family cancels, they may contact us directly to request a refund of the deposit collected through Worldschooly.
8. Managing Listings
Worldschooly reserves the right to modify or remove any listings that do not comply with platform guidelines. We may make adjustments to titles, grammar, or formatting to enhance the visibility and appeal of your listings within the marketplace. In cases of non-compliance, we reserve the right to suspend or terminate your access to the platform.
Worldschooly reserves the right to change its service fee or fee structure. Any changes will be communicated to Hosts via the website or email at least 30 days before taking effect. Continued use of the platform after any fee changes take effect constitutes the Host’s agreement to the new rates.
